These Terms of Service (“Terms”) govern your access to and use of Retraak and its project management, client portal, invoicing, payment tracking, team collaboration, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service for a business, you confirm that you are authorized to bind that business.
1. Eligibility and accounts
You must be legally able to enter into a binding agreement to use the Service. Provide accurate account information, keep your sign-in credentials secure, and promptly notify us if you suspect unauthorized access. You are responsible for activity conducted through your account, except to the extent caused by our failure to meet obligations imposed by applicable law.
2. Workspaces and team members
Workspace owners are responsible for managing team access, permissions, client information, and content shared from their workspace. You must remove access when it is no longer needed and ensure that team members are permitted to access the information made available to them.
3. Acceptable use
You may not use the Service to violate laws or others' rights; upload malicious code; attempt unauthorized access; interfere with platform security or availability; send unlawful, deceptive, or unsolicited communications; misuse another person's data; or circumvent usage limits or access controls. We may investigate suspected abuse and restrict access where reasonably necessary to protect the Service or its users.
4. Your content and permissions
You retain your rights to content you submit. You grant us permission to host, process, transmit, display, and back up that content only as reasonably necessary to operate, secure, and support the Service. You represent that you have the rights and permissions required to upload and share the content. You are responsible for the accuracy of project information, invoice details, payment instructions, and client communications you enter.
5. Client links and payment records
Some features allow clients to view project progress or report a payment through a link. You are responsible for choosing what information to share through those features and verifying payment reports before treating an invoice as paid. A payment report or uploaded proof is not, by itself, confirmation that funds have cleared. Retraak is a project-management and record-keeping tool and does not itself hold, transfer, or guarantee funds unless a specific feature expressly says otherwise.
6. Plans, fees, and billing
Some features may require a paid plan. Prices, limits, and included features are presented on the website or in the applicable order flow and may change for future billing periods. You authorize applicable charges when you purchase a paid plan. Unless the checkout page states otherwise, subscriptions renew for the displayed billing period until cancelled. You are responsible for applicable taxes and keeping billing information current.
7. Cancellation and refunds
You can request cancellation using the available billing controls or by contacting support. Cancellation generally prevents future renewals but does not automatically refund a prior charge. Refund requests are handled under our Refund Policy, subject to applicable law and the terms shown at purchase.
8. Third-party services
The Service may rely on third-party services for hosting, authentication, email, file storage, AI features, or other integrations. Those services may be governed by separate terms and policies. We are not responsible for independent third-party services, although we will take reasonable steps within our control to maintain integrations we provide.
9. Availability and changes
We aim to keep the Service useful and available, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue a feature for maintenance, security, legal, or operational reasons. Where reasonably practicable, we will provide notice of material changes.
10. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for a material breach of these Terms, suspected fraud or abuse, security risks, non-payment, or where required by law. Where appropriate and practicable, we will provide notice and an opportunity to resolve the issue. On termination, access to workspace data may end; you should maintain your own appropriate records and exports.
11. Disclaimers
To the extent permitted by applicable law, the Service is provided on an “as available” basis, without warranties that cannot lawfully be excluded. We do not provide legal, tax, accounting, or financial advice. You are responsible for ensuring your invoices, tax treatment, payment arrangements, and business practices meet your obligations.
12. Limitation of liability
To the extent permitted by applicable law, Retraak will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, goodwill, or data arising from use of the Service. Nothing in these Terms excludes liability that cannot legally be excluded or limited.
13. Changes to these Terms
We may update these Terms as the Service evolves. The updated date will be shown above. Continued use after revised Terms take effect means you accept them, where permitted by law. If you do not agree, stop using the Service.
